Agreementshallconformtothestandardspecificationsfortheproductadoptedbythe

Thepriceshallbe_dollarsperunit,F.0.B__(place).

ThepricespecifiedaboveisbasedonfreightratesonthegoodsbetweenthewarehouseoftheBuyerandthefactoryoftheSeller.Ifsuchfreightratesincreaseordecrease,thepricespecifiedshallbeadjustedaccordingly.

Paymentshallbemadebynetcashagainstsightdraftwithbillofladingattachedshowingtheshipmentofthegoods.Suchpaymentshallbemadethroughthe——–(bank)of——-(place).

ThebillofladingshallnotbedeliveredtotheBuyeruntilsuchdraftispaid.

IftheBuyerisunabletosellouttheamountofgoodswhichhehasagreedtopurchasefromtheSeller,theBuyermayreducethequantityofgoodstobedeliveredtohimbygivingnoticethereoftotheSellerbeforetheshipmentismade.IftheSellerrefusestoagreetothereductionoftheamountofgoodstobedelivered,theSellermaycancelthisAgreement.

TheBuyershallgiveshippinginstructionsintimeandprovidenecessaryshippingspace,otherwise,theSellershallnotbeundertheobligationtomaketheshipmentwithinthestipulatedtime.

IncaseanypartyfailstoperformanyofitsobligationsunderthisAgreement,theotherpartyreservestherighttocanceltheAgreementafterthedemandinwritingaddressedtothedefaultingparty.Ifthedefaultingpartyhasnotcompliedwiththedemand,theAgreementshallimmediatelyterminate.(345words)
